Mergers & Acquisitions

Mr. Fubara represents private equity sponsors, independent sponsors, buyers, sellers, and investors in mergers, acquisitions, and strategic investments. He has extensive experience handling all aspects of M&A transactions, including:

  • Letters of intent, term sheets, indications of interest, and other similar documents outlining the preliminary commitments of the parties prior to the negotiation of definitive agreements.
  • Purchase Agreements (both asset and equity sales), including compiling and drafting disclosure schedules.
  • Mergers, joint ventures, and strategic partnerships.
  • Private equity and venture capital investments.
  • Due diligence reviews, including diligence memorandum preparation.
Contract Negotiations and Drafting

Mr. Fubara has experience in drafting, reviewing, and negotiating contracts for clients in all phases of their business.

Corporate Governance, Compliance and Operations

Mr. Fubara advises privately held businesses on a wide range of corporate governance, fiduciary duties, and operational matters, including:

  • Strategizing, negotiating, and drafting governing documents (including operating agreements and shareholders’ agreements).
  • Advising board of directors on fiduciary duties and responsibilities as well as compliance issues and preparation of relevant documents such as minutes and consents.

From everything C.S. Lewis, to books on history, to my favorite English Premier League and Hoover Institute podcasts, I’ve logged more than a few hours on these and have met a much expanded world in the process. They serve as a portal to quiet, education and entertainment on planes and help me pass the daily workouts on my row machine.

This globe, which sits in my home study, serves as a reminder that I’m a spatial and temporal being, privileged to be in my particular place and time, and charged with stewarding each as best as I can.

I grew up playing soccer, starting in defence and then moving on to the forward left wing. I got introduced to rugby in college, and, similar to soccer, started in a more defensive position, and ended up as an attacking right winger. Not many things in sport beat the thrill of turning a defensive play to an offensive play, zooming past opposing players, with nothing but the hiss of the wind and the faint urgings of my teammates in my ears, and scoring, in either soccer or rugby. I get to enjoy that thrill in pickup games these days, and hope my kids can too one day.

Raised in Nigeria, but now a Texan by God’s grace, Sam lives in Lake Highlands with his wife, Christiana, and their three daughters. Sam and his family are active members of Watermark Community Church. He enjoys watching his favorite Premier League team, Arsenal, grilling, and reading books on theology and history. Much in the vein of his emphasis on place, Sam seeks ways to work for the good of his city—in this season, much of that work is done through his service on the board of the Watermark Community Development Corporation, an organization that seeks to make positive changes where needed in our city through financial empowerment, career development, and supporting small business growth. Sam enjoys traveling with his family, including to our many national parks and, overseas, to the British Isles.
