Adam Fox

Mr. Fox represents buyers, sellers, and investors in the full lifecycle of private sales, acquisitions, and strategic investments. He has extensive experience handling all aspects of M&A transactions, including:

• Letters of intent, term sheets, indications of interest, and other similar documents outlining the preliminary commitments of the parties prior to the negotiation of definitive agreements.
• Purchase Agreements (both asset and equity sales).
• Mergers, joint ventures, and strategic partnerships.
• Private equity and venture capital investments.
• Debt and equity financing.
• Ancillary agreements, such as promissory notes, lines of credit, security agreements, retention agreements, and escrow agreements.
• All aspects of due diligence, including compiling and drafting disclosure schedules.

Mr. Fox has extensive experience in advising entrepreneurs in business formation and start-up issues such as management structure, governance, fiduciary duties, raising capital, key employee incentives, exit planning, business succession, dispute resolution, and tax classification, among others. Successfully navigating these issues at the outset of a business will make operating the business much easier and will help founders avoid mistakes that can sink a business before it has a chance to succeed. Moreover, the opportunity for a seamless and successful exit from the business will greatly increase with proper early planning.

Mr. Fox has extensive experience in drafting, reviewing, and negotiating business contracts for the firm’s clients in all phases of their business. His practical approach focuses on clarity, conciseness, and plain language to express the business aspects of the deal without compromising on legal protections.

Mr. Fox advises privately held businesses on a full range of legal issues involving corporate governance, fiduciary duties, and operational matters, including:

• Strategizing, negotiating, and drafting internal corporate governing documents (company/operating agreements, shareholders’ agreements, and the like).
• Advising management/board of directors on fiduciary duties and responsibilities as well as compliance issues.
• Raising capital.
• Assisting clients with planning for an acquisition or eventual sale of the business and understanding the process for each.
• Incentivizing key employees through equity or phantom equity grants.
• Drafting, reviewing, and negotiating business contracts in all facets of the business.
• Providing support and advice for disputes among management and/or ownership, including business divorces.

Senior management teams must routinely coordinate and solve legal issues involving corporate governance, compliance, contract drafting and enforcement, employment, intellectual property, key acquisitions, exit planning, and commercial disputes. Mr. Fox serves as outside general counsel for Texas-based companies, providing advice and assistance with such legal, advisory, and compliance matters on an ongoing and as-needed basis. Mr. Fox not only relies on his experience as a corporate lawyer, but he also draws upon the experience of the firm’s lawyers in the key areas of labor & employment, dispute resolution, commercial litigation, intellectual property, and government investigations to advise clients on commercial disputes; patents, trademarks, and intellectual property licensing; protection of trade secrets; employment agreements and incentive plans; human resource issues; independent contractor agreements, non-compete/non-solicitation agreements; and government investigations.
